Basic Outline of a Book Contract Basic Outline of a Book Contract In addition to the specific terms the author and publisher have agreed upon for such items as the type of book, the advance against royalty amount, and the delivery date, the standard book contract encompasses a lengthy number of clauses covering important points in a books life cycle and an authors compensation. While exact wording and terms vary by publisher, by imprint, and by individual deals, many of the topics addressed by the contract are standard. What follows is a list of the typical clauses of a book contract, along with brief descriptions as to their purpose. The Work The nuts and bolts of the manuscript to be delivered: a novel of approximately 40,000 words; a cookbook with 100 recipes and 50 color photographs.   Description of the Work Further details describing the agreed-upon content: a mystery novel in the Spooky Attic series, featuring the character Detective Dusty; recipes for everyday family-friendly dishes that take no more than 15 minutes to cook. Grant of Rights: Territories Generally specifies that the publishers is to get world or global rights to any and all editions of the work for the duration of the copyright (currently, the authors life plus 70 years).   Advance Against Royalties Outlines the payment schedule for the upfront monies given to the author. If youre an author who intends to sell your book on your own (say, at readings or book signings that you arrange), make sure to negotiate this point to come to a different resale agreement. Copyright Dictates how the copyright notice should appear. It should be in the authors name, not the publishers. Royalties Generally, a long and complex section that deals with the percentage of book-related sales the author will receive. It outlines the rates and the terms.  Any traditionally published author will be earning different royalty rates for different types of book sales and subsidiary rights sales. Any compensation given to the author before the book comes out is also indicated here; it is known as an advance against royalties or simply an advance. Subsidiary Rights Another extensive portion of the contract, subsidiary rights refer to the rights the author grants the publisher to sub-license his book (the work) for various formats and adaptations in addition to the original one (usually, a hardcover book). The clause specifies which subsidiary rights that are being granted by the agreement, and also outlines the percentage of the sub-license fees received by the publisher (from the third-party licensor) that will go to the author. Settlements of Accounts Concerns the accounting of royalties, the timing of payments and royalty statements, etc. Competitive Works Prevents the author from writing a competitive work for another publisher at the time of the books publication.   Warranties and Indemnities Guarantees concerning the authorship of the work, that the work isnt libelous, etc.   Original Work Concerns the trafficking of original materials and any reparations made for lost or damaged original work.   Inserts, Back of Book Advertising Prevents the publisher from selling any part of the  book for advertising space.   Next Publication of Author's Work Stipulates that the book contracted will be the latest work of the author (i.e., she wont publish something else before it comes out).   Option (For Subsequent Work) Outlines the publishers first right of refusal for the authors future work.   Out of Print Dictates the reversion of rights to the author if the publisher decides to cease publishing new editions of the work, letting it go out of print.   Remainders Dictates procedure to remaining copies of the work, if the publisher decides to no longer keep the book in print. Governing Law Dictates which states laws govern the contract agreement. Assignment Covers third parties, like heirs, executors, etc. to whom rights and royalties go in case of the authors death. It’s Law Firm Bonus Time! It’s Law Firm Bonus Time! The Thanksgiving leftovers are dwindling and law firm associates are back to work today- that is, if they weren’t in the office all weekend. And on the exact same day as it did last year, top law firm  Cravath, Swaine Moore  kicked off bonus season by announcing associate bonuses for 2012. If the last several years are any indication, it won’t be long until most every other New York BigLaw firm follows suit and offers associates- surprise!- exactly the same amount of money. In a firm-wide memo, Cravath announced the following year-end bonuses (class year refers to when attorneys graduated from law school): Class of 2012: $10,000 (pro-rated depending on when new associates began at the firm) Class of 2011: $10,000 Class of 2010: $14,000 Class of 2009: $20,000 Class of 2008: $27,000 Class of 2007: $34,000 Class of 2006: $40,000 Class of 2005: $50,000 Class of 2004: $60,000 While these bonuses are certainly more than generous in absolute terms- especially given that all associates in good standing receive these bonuses, regardless of differences in performance- the amounts are actually slightly lower than last year’s total bonus compensation for most associates. In 2011, when Cravath awarded both year-end and spring bonuses to all attorneys, those in their second through seventh years at the firm received between $3,500 and $11,000 more in total compensation. Not that law firm associates should be complaining about their compensation, but to put these numbers in perspective, below are Cravath’s bonus numbers from 2007, when the firm awarded astronomical year-end bonuses as well as a “special” bonus: Class of 2007: $35,000 Class of 2006: $45,000 Class of 2006: $55,000 Class of 2004: $65,000 Class of 2003: $80,000 Class of 2002: $95,000 Class of 2001: $110,000 Class of 2000: $110,000 Yes, you read that right- a bonus of over $100,000 for a law firm associate. And what used to be an introductory bonus for a first-year associate now takes five years to earn. At this rate, it doesn’t look like associates will be going back to the glory days of 2007 any time soon. So what do you think? The Components of Liquid Armor   The key component of liquid armor is a sheer thickening fluid or STF. This fluid is composed of hard particles suspended in a liquid. The liquid, polyethylene glycol, is non-toxic and it can withstand a wide range of temperatures. Hard nanoparticles of silica form the other component of STF. This combination of flowable and hard components results in a material with unusual properties. STF is soaked into all layers of a Kevlar vest to make liquid armor.   How Liquid Armor Reacts The Kevlar fabric holds the STF in place and it also helps to stop bullets. The saturated fabric can be soaked, draped, and sewn just like any other fabric. During normal handling, the STF is very deformable and flows like a liquid. But when a bullet or frag hits the vest, it transitions to a rigid material. This prevents the projectile from penetrating the soldiers body, according to Dr. Eric Wetzel, a mechanical engineer from the Weapons and Materials Research Directorate who heads the U.S. Army project team. Wetzel and his team have been working on this technology with Dr. Norman J. Wagner and his students from the University of Delaware for several years. The Goal of the Technology   The goal of the technology is to create a new material that is low cost and lightweight while still offering equivalent or superior ballistic properties compared to current Kevlar fabric. But liquid armor also has more flexibility and less thickness, according to Wetzel. The technology has a lot of potential. Liquid armor is still undergoing laboratory tests, but Wetzel is enthusiastic about other applications that the technology might be applied to. The sky is the limit, said Wetzel. We would first like to put this material in a soldiers sleeves and pants, areas that arent protected by ballistic vests but need to remain flexible. We could also use this material for bomb blankets, to cover suspicious packages or unexploded ordnance. Liquid armor could even be applied to jump boots so that they would stiffen during impact to support soldiers ankles. In addition to saving soldiers lives, Wetzel said liquid armor used in Kevlar vests could help those who work in law enforcement. Prison guards and police officers could also benefit from this technology, said Wetzel. Liquid armor is much more stab-resistant than conventional body armor. This capability is especially important for prison guards, who are most often attacked with handmade sharp weapons. Wetzel and his team have been awarded the 2002 Paul A.
